Terms of Service

The agreement between you and Michelle & Rich Essence Ltd. for use of the M&R Edge Engine platform, API and SDKs. Last updated: September 2026. Draft pending legal review.

1. Who we are

M&R Edge Engine is operated by Michelle & Rich Essence Ltd., a company registered in Scotland (company number SC 883903) with its registered office in Edinburgh, United Kingdom. In these terms, “we”, “us” and “our” mean Michelle & Rich Essence Ltd., and “you” means the individual or organisation using the service.

These terms govern your use of the M&R Edge Engine website, workspace, public API, SDKs and related services (together, the “Service”). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation.

2. The Service

The Service turns a brief into scripts, voiceovers and video in multiple languages, and provides team access, training cohorts, a brand localisation studio, a versioned public API and official Python and TypeScript SDKs.

We may improve, suspend or withdraw features as the product evolves. Where a change materially reduces a capability you pay for, we will give reasonable notice and, where appropriate, a pro-rata credit.

3. Accounts, teams and seats

You must provide accurate account information and keep your credentials and API keys confidential. Activity under your account, workspace or API keys is your responsibility.

Team Access tiers (Solo, Small, Medium, Large, Enterprise) grant every member equal full-suite access within the seat count and concurrency limits of the tier. Roles (Creator, Editor, Trainer, Viewer, Admin) control what members can do, and training cohorts may use temporary licenses that expire on the date you set. You must not share seats outside your organisation or resell access without a written agreement.

4. Acceptable use

You must not use the Service to create content that is unlawful, defamatory, deceptive, infringing, or that violates the rights of others; to impersonate real people without consent; to generate disinformation, spam or content intended to deceive; or to probe, overload or reverse-engineer the Service or its models.

You are responsible for the briefs, scripts, images and other material you submit, and for how you use and publish the content the Service generates. We may suspend accounts that breach this section.

5. Your content and generated output

You retain ownership of the material you submit. Subject to these terms and payment of applicable fees, we assign to you our rights in the output generated specifically for you, so you can use it commercially.

Because generation is probabilistic, similar output may be produced for other users; the assignment above does not cover output generated for others. You grant us a limited licence to process your submissions solely to operate, secure and improve the Service.

6. Plans, credits and billing

Paid plans (Indie, Starter, Growth, Scale) are billed monthly or yearly in advance and renew until cancelled. Plan allowances and token metering are described on the pricing page. Failed or blocked jobs are never charged, and eligible failed jobs receive credits back automatically.

Our Refund Policy explains when refunds and credits are available. Prices exclude VAT or similar taxes, which are added where required by law.

7. API, SDKs and fair use

The public API is versioned (v1) and accessed with API keys you can scope, rotate and revoke. You must keep within your plan's rate limits and concurrency, and must not circumvent metering or access controls.

We may throttle or suspend API access that threatens the stability or security of the Service, with notice where practicable.

8. Service levels and monitoring

We run scheduled engine health checks and SLA monitoring, and publish status information. Where a paid plan includes a service-level commitment and we miss it, the remedy is the service credit described in your plan or order form.

9. Liability

The Service is provided with reasonable skill and care. We do not warrant that generated content will be accurate, non-infringing or fit for a particular purpose, and you should review output before publishing it.

Nothing in these terms excludes liability that cannot be excluded by law. Otherwise, our total liability in any 12-month period is limited to the amounts you paid us for the Service in that period, and we are not liable for indirect or consequential losses, lost profits or lost data.

10. Term and termination

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach, non-payment or unlawful use. On termination you may export your content for a reasonable period, after which it may be deleted in line with our Privacy Policy.

11. Changes and governing law

We may update these terms; material changes will be notified in the app or by email at least 14 days before taking effect. Continued use after that date constitutes acceptance.

These terms are governed by the laws of Scotland, and the courts of Scotland have exclusive jurisdiction, except where mandatory consumer law in your country of residence provides otherwise.

12. Contact

Questions about these terms: [email protected], or via the contact page. Michelle & Rich Essence Ltd., Edinburgh, United Kingdom.
